Terms of Service

These Terms govern your access to and use of IndieCtrl. Please read them carefully. If you use IndieCtrl on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

1. The Service

IndieCtrl is a product and service operated by Thousand Generation Ltd (“we,” “us,” or “our”). Thousand Generation Ltd provides software for game-business analytics, Steam-data reporting, media-coverage tracking, creator discovery, campaign and festival planning, team collaboration, and related features (the “Service”). Features may change over time and may depend on third-party data sources, your subscription plan, and your configuration.

2. Acceptance, eligibility, and accounts

By creating an account, accepting these Terms, or using the Service, you agree to these Terms and our Privacy Policy. You must be at least 18 years old and able to form a binding contract. You must provide accurate account information, keep it current, protect your credentials, and promptly notify us of unauthorized account use.

Each account is for the individual or organization that registered it. Account owners are responsible for users they invite to a workspace and for setting appropriate roles and permissions. You may not share accounts in a manner that bypasses seat limits or otherwise interfere with access controls.

3. Your data and permissions

You retain your rights in the information and content you provide to IndieCtrl (“Customer Data”). You grant us a limited, non-exclusive right to host, store, copy, transmit, process, and display Customer Data only as needed to provide, secure, support, and improve the Service, to comply with law, and as otherwise described in our Privacy Policy.

You represent that you have all necessary rights, permissions, authority, and lawful basis to provide Customer Data, invite users, connect third-party accounts or credentials, and use creator or contact information through the Service. In particular, you may provide a Steam Partner API key only for games and Steamworks organisations you are authorised to access. You are responsible for keeping credentials confidential and removing access when it is no longer authorised.

4. Third-party services and data

The Service may display, organise, or analyse data from third-party sources, including Steam, YouTube, Twitch, Stripe, and other sources selected by you or made available through the Service. Those services are not controlled by IndieCtrl and are governed by their own terms, privacy notices, availability, technical limits, and policies. We may modify, suspend, or discontinue a feature that depends on a third-party service where reasonably necessary.

Third-party data may be delayed, incomplete, changed, removed, or inaccurate. IndieCtrl does not guarantee the availability, completeness, accuracy, or suitability of third-party data, and the Service is not a substitute for your own records, professional advice, or independent verification.

5. YouTube API Services

IndieCtrl uses YouTube API Services to provide public video and channel coverage features. By using any IndieCtrl feature that uses YouTube API Services, you agree to be bound by the YouTube Terms of Service. You can review them at the link below.

IndieCtrl shows YouTube-sourced metadata and thumbnails for analytics and discovery. It does not play YouTube videos in the Service. A user who selects a video is directed to the relevant YouTube watch page. You may not use the Service to violate YouTube’s terms, obscure YouTube attribution, misrepresent the source of YouTube content, circumvent quotas or technical restrictions, or use YouTube data in a way that violates applicable law or third-party rights.

6. Acceptable use

You may use the Service only for lawful internal business purposes and in accordance with these Terms. You must not:

• Use the Service to violate law, infringe intellectual-property, privacy, publicity, or other rights, or breach a third party’s terms.
• Copy, resell, rent, lease, sublicense, reverse engineer, or create a competing service from the Service except where law prohibits that restriction.
• Probe, scan, disrupt, overload, bypass, manipulate, or interfere with the Service, its security, subscriptions, payment flows, credits, plan limits, rate limits, or access controls, including attempting to access paid or restricted features without the applicable subscription or permission.
• Upload malware or harmful code; use the Service to send unlawful spam; or collect or use personal information for unlawful, deceptive, or abusive outreach.
• Use creator-contact information except in a lawful, professional manner, honoring applicable marketing laws, platform rules, and opt-out requests.
• Use automated means to access the Service except through documented interfaces we expressly permit.

7. Subscriptions, billing, and cancellation

Certain features require a paid subscription. Prices, plan limits, billing interval, and any applicable taxes are shown at checkout or in the Service. Payments are processed by Stripe. By submitting payment information, you authorize Stripe and IndieCtrl to charge the applicable subscription fees and taxes using the selected payment method.

Subscriptions renew automatically at the end of each billing period unless you cancel before renewal through the billing portal or by contacting us. If payment fails, we may limit, suspend, or end access after reasonable attempts to collect payment. If a subscription ends, IndieCtrl may provide read-only access to historical data for a limited period, but is not required to do so.

Except where required by law or expressly stated at purchase, fees are non-refundable. We may change prices or plan features prospectively by giving reasonable notice before a renewal period.

8. Intellectual property

IndieCtrl and its licensors own all rights in the Service, including its software, design, branding, documentation, and aggregated or de-identified service insights. Subject to these Terms and payment of applicable fees, IndieCtrl grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term.

YouTube, Steam, Twitch, Stripe, and other third-party names and marks belong to their respective owners. Nothing in these Terms grants you rights to a third party’s content, APIs, marks, or data beyond the rights provided by that third party.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and will protect it using reasonable care. This obligation does not apply to information that is public through no breach, independently developed, lawfully received without confidentiality obligations, or required to be disclosed by law after notice where permitted.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIECTRL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. INDIECTRL DOES NOT WARRANT THAT THIRD-PARTY DATA, RESULTS, OR RECOMMENDATIONS WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR DECISION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIECTRL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. INDIECTRL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO INDIECTRL FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless IndieCtrl and its personnel from claims, damages, losses, and reasonable costs arising from your Customer Data, your breach of these Terms, your unlawful use of the Service, or your violation of third-party rights or terms. IndieCtrl will give you prompt notice of a claim and reasonable cooperation at your expense.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay fees, or if we must do so to comply with law or a third-party provider’s requirements. On termination, your right to use the Service ends, but sections that by their nature should survive will survive, including payment obligations, intellectual property, disclaimers, liability limits, confidentiality, and indemnity.

14. Changes to the Service or Terms

We may modify the Service or these Terms. If a change materially affects your rights, we will provide reasonable notice by posting an updated version, through the Service, or by email. Continued use after the effective date of the updated Terms means you accept them. If you do not agree, you must stop using the Service.

15. Governing law and disputes

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except where mandatory law provides otherwise.

This governing-law and jurisdiction clause is intended for a company operating from England and Wales.

16. General

These Terms and the Privacy Policy are the entire agreement between you and IndieCtrl about the Service and supersede prior agreements on that subject. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent. Our failure to enforce a provision is not a waiver.
